Terms of Service

By accessing our website, you are agreeing to be bound by these terms of service, and agree that you are responsible for compliance with any applicable local laws.

1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Afefe (trading as “Afefe”), governing your access to and use of the Afefe Platform, including afefe.com, all associated mobile applications, APIs, course content, and services.

By creating an account, enrolling in a course, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accessing the Platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. THE PLATFORM

Afefe is an AI-powered Learning Management System (LMS). The Platform provides:

  • Online courses, micro-credentials, and professional certifications
  • Instructor tools for creating, publishing, and monetising course content
  • Corporate learning management and employee training administration for enterprise clients
  • Government and parastatal training portals for sponsored workforce development programmes
  • AI-powered course recommendations, progress tracking, and learning analytics

3. ACCOUNT REGISTRATION

3.1 Eligibility

You must be at least 18 years old to register on the Platform. By registering, you confirm you meet this requirement.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.3 Account Security

You must notify us immediately at support@afefe.com if you suspect unauthorized access to your account. We will not be liable for any loss arising from your failure to safeguard your credentials.

3.4 Account Suspension

We reserve the right to suspend or terminate your account if you provide false information, violate these Terms, or engage in conduct that is harmful to other users, instructors, or the Platform.

4. USER TYPES & OBLIGATIONS

4.1 Learners

As an individual learner, you agree to:

  • Enrol in and complete courses honestly, without sharing access credentials or circumventing assessments
  • Respect intellectual property rights, course content is for personal educational use only
  • Not record, reproduce, distribute, or sell course materials without written authorisation
  • Engage respectfully with instructors and other learners in discussion forums and live sessions

4.2 Instructors & Content Creators

As an instructor, you agree to:

  • Provide accurate course descriptions, learning objectives, and credentials
  • Ensure all course content is original or properly licensed; you bear sole responsibility for any third-party IP in your content
  • Maintain the quality and accuracy of your courses and update them as industry standards evolve
  • Comply with Afefe's Instructor Content Guidelines, which form part of these Terms
  • Not engage in misleading pricing, fake reviews, or other deceptive practices

4.3 Corporate Clients

Corporate clients entering into a Master Service Agreement (MSA) with Afefe agree to:

  • Use the Platform solely for training their authorised employees
  • Appoint an account administrator responsible for user management and compliance
  • Not exceed the number of licensed user seats without prior written approval
  • Ensure nominated employees comply with these Terms

4.4 Government & Parastatal Bodies (B2G)

Government entities agree to additional terms set out in their respective Service Agreements, which complement and take precedence over these Terms in the event of any conflict.

5. COURSES, ENROLMENT & PAYMENTS

5.1 Course Availability

Afefe reserves the right to modify, suspend, or discontinue any course at any time. Where a course is discontinued after your enrolment, we will provide reasonable notice and, where appropriate, a pro-rated refund.

5.2 Pricing

All prices are listed in Nigerian Naira (NGN) unless otherwise stated. Afefe reserves the right to change pricing at any time; changes will not affect enrolments already confirmed.

5.3 Payment

Payment must be made in full at the time of enrolment unless you are on an approved corporate invoice arrangement. We accept payment by debit/credit card, bank transfer, and supported digital payments. All transactions are subject to our payment processor's terms.

5.4 Refund Policy

Certification examination fees are non-refundable once an examination has been scheduled.

6. CERTIFICATES & ACCREDITATION

Certificates of completion are issued upon meeting all course requirements including assessments, assignments, and minimum attendance thresholds for live sessions.

Afefe partners with recognised professional bodies (including COREN, NSE, SPE, NCDMB, and others) to offer accredited certifications. Accreditation status is indicated on each course page and is subject to the requirements of the relevant professional body.

Afefe certificates are intended to supplement, not replace, formal professional qualifications. You are responsible for verifying that any certification meets the requirements of your employer or regulatory authority.

7. INTELLECTUAL PROPERTY

7.1 Afefe's IP

All rights in the Platform, including its software, design, trademarks, brand assets, and proprietary AI technology, are owned by Afefe. Nothing in these Terms grants you any right to use Afefe's intellectual property other than as expressly set out herein.

7.2 Course Content

Course content published by instructors remains the intellectual property of the respective instructor or their licensor. By publishing content on Afefe, instructors grant Afefe a non-exclusive, royalty-free licence to host, display, and distribute that content to enrolled learners.

7.3 User-Generated Content

By submitting content to the Platform (e.g. forum posts, course reviews, discussion contributions), you grant Afefe a non-exclusive licence to use, display, and moderate that content for Platform operations.

8. PROHIBITED CONDUCT

You agree not to:

  • Impersonate any person or entity or misrepresent your affiliation with any organisation
  • Attempt to gain unauthorised access to any part of the Platform or another user's account
  • Upload, transmit, or distribute viruses, malware, or any other harmful code
  • Scrape, harvest, or systematically extract data from the Platform
  • Use the Platform to harass, abuse, threaten, or discriminate against any person
  • Use automated bots or scripts to interact with the Platform without prior written consent
  • Circumvent any content protection or digital rights management mechanisms
  • Engage in academic dishonesty, including sharing assessment answers or using impersonators to complete assessments on your behalf
  • Reproduce, redistribute, or commercially exploit course content without authorisation

9. AI FEATURES & LIMITATIONS

The Afefe Platform incorporates artificial intelligence features including personalized learning recommendations, automated content tagging, and analytics dashboards. By using these features, you acknowledge that:

  • AI-generated recommendations are based on your usage patterns and stated preferences and may not always be accurate or optimal
  • AI features are provided to enhance your learning experience and do not constitute professional advice
  • Afefe is continuously improving its AI capabilities; features may change without prior notice

10. THIRD-PARTY LINKS & SERVICES

The Platform may contain links to third-party websites, tools, or services. Afefe does not endorse and is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.

11. DISCLAIMERS & LIMITATION OF LIABILITY

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law:

  • Afefe makes no warranty that the Platform will be uninterrupted, error-free, or secure
  • Afefe is not responsible for the accuracy, completeness, or quality of course content published by third-party instructors
  • Global Ocean Engineers Nigeria Limited's total liability to you for any claim arising from your use of the Platform shall not exceed the amount paid by you to Afefe in the 12 months preceding the claim
  • Afefe shall not be liable for indirect, incidental, special, or consequential damages including loss of earnings, loss of data, or damage to reputation

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Afefe, its directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. TERMINATION

You may terminate your account at any time by contacting support@afefe.com. Upon termination, your access to the Platform will cease, though your certificate records will be retained in accordance with our data retention policy.

Afefe may suspend or terminate your account with immediate effect if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Where possible, we will provide reasonable notice prior to termination.

14. DISPUTE RESOLUTION

In the event of a dispute, you agree to first attempt to resolve it informally by contacting us at legal@afefe.com. If the dispute cannot be resolved informally within 30 days, it shall be referred to mediation under the Lagos Court of Arbitration (LCA) Mediation Rules.

If mediation is unsuccessful, disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004), with the seat of arbitration in Lagos, Nigeria. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction.

15. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the dispute resolution clause above, both parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

16. AMENDMENTS

Afefe reserves the right to amend these Terms at any time. Where changes are material, we will notify you by email and/or by a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

17. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Instructor Content Guidelines, and any applicable Master Service Agreement or Service Agreement, constitute the entire agreement between you and Afefe with respect to the Platform and supersede all prior agreements, representations, and understandings.
